The placement of orders by Customers to Smart Clock will constitute agreement by Customers to the following
TERMS AND CONDITIONS
PRICING: The prices in the Smart Clock Online Catalog supersede all previous prices and may change without notice. Online orders may qualify for Internet Pricing and Online Promotions. Hard-copy orders may be placed at "Regular Price" as shown on our web site. All prices are Net and are subject to the following terms:
ORDERING OPTIONS: You may order online or submit a hard-copy Purchase Order:
1. Online Ordering:
The most accurate and fastest method to process your order is to place it online through our web site. The benefits of ordering online include:
- No minimum order amount for online orders
- Your order is expedited directly to shipping - No delays because of discrepancies. Online orders are prioritized and will be processed first. We will endeavor to ship in-stock items within 3 days of the time received. (On average on-line orders are processed and shipped 1 business day faster than paper orders)
- Error Free - You place your order correctly the first time - no keying errors on our side.
- Use a Purchase Order or Credit Card.
- Order can be shipped Prepay & Add.
- Order using real-time pricing and availability on any item - anytime.
- Check order status online and access your order history and invoices.
2. Hard Copy Orders:
If you are not able to place your order online, we will accept your hard-copy Purchase Order form via EMAIL to Service@SmartClock.com. If you do not have a Purchase Order form, just let us know and we will email you one that you can fill out and return back to us.
DROP SHIPMENTS: No charge.
BROKEN PACKAGES: No charge.
PAYMENT TERMS: Net 30 for domestic orders. Net 60 for international orders for open accounts only. Customer agrees to pay an additional service charge of 1% per month on all invoices unpaid after 30 days (60 days for international). Early payment discounts may also be offered to specific Customers who have demonstrated their willingness to pay such discounts within specific time limits. This will be offered only on specific invoices, is solely at Smart Clock’s discretion, and may be withdrawn without notice.

CANCELLED ORDERS: Order cancellations must be in writing. Orders shipped prior to cancellation notice will be invoiced as a completed order and will be subject to the terms for returned merchandise.
NORMAL DELIVERY: Most orders ship from the factory within 3 days. To obtain an accurate delivery we suggest an emailed request, which will be returned within one hour. Inventory levels are posted at www.SmartClock.com on each product page.
WSL/BTO (While Stock Lasts) items and BTO (Build to Order) are available ONLY while existing stock lasts and may be discontinued when stock is depleted. Contact Smart Clock to check stock before ordering any WSL or BTO item.
PARTIAL SHIPMENTS: Partial shipments will be made unless the order specifies that the order is to ship complete.
RETURNS: No returns should ever be necessary, but if the situation should arise please contact customer service with the following information;
- Complete End User Contact Information, NOTE: RMAs will not be issued without this information.
- A description of why the product is being returned.
- Copy of invoice under which product was purchased.
When a return is approved, customer service will e-mail a Return Merchandise Authorization number (RMA#). A copy of the RMA must accompany the shipment. The RMA number must appear on the outside of returned cartons, and DII reserves the right to refuse all return shipments which do not bear the RMA number or which are shipped freight collect. See LIMITED WARRANTY section.
Note: RMA will be provided for hardware only.
Products cannot be returned after 12 months from invoice date.
SHELF LIFE: ROTATE YOUR STOCK – Some items contain batteries or have physical properties that may change with time. Credit issued for these items will be determined only upon receipt of the items and inspection at our factory.
CREDIT HOLD: Any unpaid invoice will be considered past due 30 days from the date of the invoice. New Customer orders will not be accepted or entered into the queue if any invoices are past due. Promised deliveries for existing orders will be moved to the end of the queue if any invoices become past due.
SHORT SHIPMENT & PRICING CLAIMS: All claims pertaining to invoices (including short shipments, pricing discrepancies, freight charges, etc.) must be made in writing within 15 days of the invoice date. Claims must include copy of original PO, PO number, invoice number, and invoice date. All claims must be approved by Smart Clock.
SHIPPING CHARGES: All shipments are FOB FACTORY. Customer is therefore responsible for both shipping charges and damage to goods in transit. Note that freight charges are based on weight AND volume. Customer must specify a freight carrier (if other than UPS) at time the order is placed. Smart Clock will prepay UPS shipments and the cost of freight will be added to each invoice unless otherwise specified. NOTE: Request to ship UPS 1st, 2nd, or 3rd day is a method of shipment and does not imply any expediting of order processing by Smart Clock. For non-UPS shipments the order will be shipped third party billing at Customer’s option. Customer is responsible for and agrees to pay charges disallowed or billed back to Smart Clock by third parties when Customer has specified third party billing. Some carriers may not be available to use by Smart Clock. Customer will be notified if an alternate carrier is required.
DAMAGE CLAIMS: Smart Clock will not issue credit, or take responsibility for merchandise lost or damaged by the carrier, unless insurance is requested at the time of order. Such insurance is the responsibility of Customer and will be included with freight cost on the invoice. Customer holds title to the goods once Smart Clock has delivered them to the carrier, and is therefore responsible for settling all damage or loss claims with carriers. Smart Clock will assist Customer in any reasonable manner to establish damage claims with common carriers.
MULTIPLE SHIPPING POINTS: Smart Clock Brand products are manufactured in various locations. Shipping points may vary. Customer will be responsible for verifying the shipping point and freight cost in advance of ordering or providing shipping instructions to Smart Clock.
PRODUCT CONTENT: Some “new” Smart Clock products and/or the content of some Smart Clock products may contain product that has been previously used and/or recycled. This content has been thoroughly tested to perform as good as, or better than, “new” product and is verified to perform as “new”. All products sold as “new” carry New Product Warranties.
GUARANTEE: We make every effort to see to it that our products are of the highest quality and meet all appropriate recognized industry standards. Since we cannot guarantee that all products are applicable to all situations and that the data we provide from many sources is reliable and accurate for all situations, our lawyers want you to know that…
All statements, technical data, and recommendations contained herein are based upon tests we believe to be reliable. However, the accuracy or completeness thereof is not guaranteed. The proper and correct application of products and data is the responsibility of the user. The following is made in lieu of all warranties, expressed or implied:
Smart Clock’s only obligation shall be to replace such quantity of the product proved to be defective. Smart Clock shall not be liable for any injury, loss, or damage, direct or consequential, arising out of the use of or the inability to use the product. Before using, users shall determine the suitability of the product for their intended use, and users assume all risk and liability whatsoever in connection therewith.
No statement or recommendation not contained herein shall have any force or effect unless embodied in a written agreement signed by authorized officers of Desco Industries, Inc.
LIMITED WARRANTY: Smart Clock expressly warrants that for a period of 90 days from the date of purchase, Smart Clock products, hardware only, will be free of defects in material (parts) and workmanship (labor). An extended warranty is available for purchase. Within the warranty period, a unit will be tested, repaired or replaced at Smart Clock’s option, free of charge. Call our Customer Service Department at 909-664-9980 (Chino, CA) for a Return Material Authorization (RMA) and proper shipping instructions and address. Please include a copy of your original packing slip, invoice, or other proof of date of purchase. Any unit under warranty should be shipped prepaid to the Smart Clock factory. Warranty replacements will take approximately 1 week. If your unit is out of warranty and you would like to have it extended, call our Customer Service Department at 909-664-9980 (Chino, CA) for a maintenance agreement renewal. If the unit is not under warranty and you would like it repaired, contact the Customer Service Department for a Return Material Authorization (RMA) and proper shipping instructions and address. Smart Clock will quote repair charges necessary to bring your unit up to factory standards.
WARRANTY EXCLUSIONS: THE FOREGOING EXPRESS WARRANTY IS MADE IN LIEU OF ALL OTHER PRODUCT WARRANTIES, EXPRESSED AND IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WHICH ARE SPECIFICALLY DISCLAIMED. The express warranty will not apply to defects or damage due to accidents, neglect, misuse, alterations, operator error, or failure to properly maintain, clean or repair products.
LIMIT OF LIABILITY: In no event will Smart Clock or any seller be responsible or liable for any injury, loss or damage, direct or consequential, arising out of the use of or the inability to use the product. Before using, users shall determine the suitability of the product for their intended use, and users assume all risk and liability whatsoever in connection therewith.
EVERY EFFORT IS MADE TO ENSURE THAT THE INFORMATION AND PRICES IN THIS COST SCHEDULE ARE ACCURATE.
